Terms of Service

These Terms of Service ("Terms") govern access to and use of chat365, an AI-powered receptionist and lead-capture service provided by Catalysticly Pty Ltd (ABN 30 146 807 146), trading as chat365 ("chat365," "we," "us," or "our"). By using chat365 — whether as a business customer configuring the service, or as someone messaging or calling a business that uses it — you agree to these Terms. If you don't agree, please don't use the service.
1. What chat365 Does
chat365 provides an AI receptionist that businesses connect to their website chat, Facebook Messenger, WhatsApp, and/or phone number, depending on their plan, to have conversations with their customers, capture enquiries, and — where the plan includes it — check calendar availability, book appointments, and pass qualified leads through to the business's own CRM. Responses are generated automatically using third-party AI services and are not reviewed by a human before being sent, except where a business's own process includes human follow-up.
2. Business Customers
- If you're a business using chat365, you're responsible for the accuracy of the information you configure (your business description, services offered, and any required details you ask chat365 to collect) and for reviewing enquiries captured on your behalf before acting on them.
- You must have the right to connect the website, Facebook Page, WhatsApp number, or phone number you provide to us, and to authorize chat365 to send and receive messages or calls on your behalf.
- chat365's setup (connecting your channels, writing your assistant's configuration, and provisioning a phone number where applicable) is currently performed by our team, not self-serve.
- You're responsible for complying with your own obligations to your customers, including your own privacy policy and any consumer protection laws that apply to your business.
3. Acceptable Use
You must not use chat365 to send unlawful, misleading, or harassing content, to impersonate another person or business, or to attempt to interfere with or disrupt the service.
4. No Warranty on AI-Generated Responses
chat365's responses are generated automatically and, while designed to be accurate and on-topic for the business it's configured for, may occasionally be incomplete, inaccurate, or fail to reflect a business's current offerings. chat365 is provided to assist with initial enquiries, lead capture, and appointment scheduling — it is not a substitute for a business's own judgment, and businesses should not rely on it as the sole source of truth for anything safety-critical, legal, medical, or financial.
5. Fees and Plans
chat365 is offered under a small number of published plans (see chat365.com.au/#pricing for current plans and pricing), covering different combinations of channels and included phone minutes. Minutes used beyond a plan's included allowance are billed per minute as described on the pricing page. Fees and any additional terms are set out in the individual service agreement entered into with each customer.
6. Service Availability
We aim to keep chat365 available and responsive, but we don't guarantee uninterrupted service. chat365 depends on third-party platforms (including Meta's Messenger and WhatsApp platforms, OpenAI's API, Vapi, Twilio, HubSpot, and Microsoft Azure) that are outside our control, and outages or changes to those services may affect chat365's availability or behavior.
7. Data Handling
Information collected through chat365 is handled as described in our Privacy Policy, which forms part of these Terms.
8. Intellectual Property
chat365, including its underlying software, prompts, and branding, is owned by Catalysticly Pty Ltd (ABN 30 146 807 146). Nothing in these Terms transfers ownership of chat365 to a business customer; you're granted the right to use the service, not to copy, resell, or reverse-engineer it.
9. Limitation of Liability
To the maximum extent permitted by law, chat365 is provided "as is," and we are not liable for indirect, incidental, or consequential loss arising from your use of the service, including loss of business, revenue, or data.
10. Termination
Either party may stop using or providing the service at any time. We may suspend or terminate access if these Terms are breached, or if continued use poses a risk to chat365, other users, or third parties we rely on (e.g. Meta, OpenAI, Vapi, Twilio).
11. Changes to These Terms
We may update these Terms from time to time. Continued use of chat365 after an update means you accept the revised Terms. Material changes will be reflected by an updated effective date on this page.
12. Governing Law
These Terms are governed by the laws of Victoria, Australia.
